You agree not to:

• Violate applicable laws or regulations
• Misrepresent your identity, role, or employment situation
• Share session content or materials publicly without written consent
• Use coaching materials to harm your employer or colleagues
• Attempt to resell or redistribute NxtChapter session content or scripts
• Engage in any fraudulent or deceptive conduct in relation to the Services

All session materials, scripts, frameworks, written outputs, and website content produced by NxtChapter are owned by or licensed to Vectorsight Technologies Private Limited and are protected by applicable intellectual property laws.

You receive a personal, non-transferable licence to use session materials for your own career development. No content may be copied, reproduced, distributed, or republished for commercial purposes without prior written permission.

NxtChapter provides career coaching, not legal, financial, medical, or HR advice. Coaching is educational and developmental in nature.

While we will use commercially reasonable efforts to help you achieve your career goals, outcomes depend on multiple factors including your effort, your employer's decisions, market conditions, and factors outside our control.

Nothing in our sessions constitutes legal advice. For employment law questions, please consult a qualified legal professional.

5.1. Coach Confidentiality

All information you share during sessions is treated as strictly confidential. NxtChapter will not disclose your session content, employer details, or personal career situations to any third party without your explicit written consent, except as required by law.

5.2. Client Confidentiality

Any proprietary information shared by NxtChapter, including frameworks, scripts, and methodologies, is confidential and may not be shared with third parties or used for commercial purposes.

5.3. Testimonials and Case Studies

Client stories may only be shared publicly with explicit written permission. All published stories are anonymised and approved by the client prior to publication.

5.4. Survival

Confidentiality obligations survive termination of these Terms for a period of 5 (five) years.

To the fullest extent permitted by law, NxtChapter shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising from:

• Career decisions made using coaching advice
• Employer reactions to actions taken following sessions
• Outcomes of any of your situation not limited to salary negotiations, performance reviews, leader visibility, promotion, hike, overwork, or PIPs
• Career interruption or loss of employment or loss of income
• Any actions or decisions or impact

You acknowledge that all career, legal, financial, and employment decisions remain your sole responsibility.

Where liability cannot be excluded by law, NxtChapter's total aggregate liability shall not exceed the fees paid to NxtChapter during the three (3) months immediately preceding the event giving rise to the claim.

You agree to indemnify and hold harmless NxtChapter, its directors, employees, and affiliates from any claims, liabilities, losses, damages, costs, or expenses arising from:

• Your use of the website or services
• Your misuse of coaching advice or materials
• Violation of these Terms
• Violation of applicable laws
• Infringement of third-party rights

Strategy Calls: The initial strategy call is complimentary and no payment is required.

Paid Sessions and Packages: Once a session or coaching package is booked and payment is received, fees are strictly non-refundable, except where required by applicable consumer protection law.

Cancellation and Rescheduling: Sessions may be rescheduled with at least 72 hours' notice at no additional charge. Sessions cancelled with less than 72 hours' notice may be forfeited at NxtChapter's discretion.

In no event will refunds be issued for completed sessions or packages already accessed.

NxtChapter may suspend or terminate access to Services at any time if these Terms are violated, if conduct during sessions is abusive or disrespectful, or if continued engagement creates legal, operational, or safety risks.

NxtChapter may use third-party scheduling, payment, and communication platforms (e.g., Calendly, Razorpay, Zoom). NxtChapter is not responsible for outages, security incidents, or policy changes attributable to these third-party providers.

You shall not use this site to:

• engage in any unlawful, fraudulent, harmful, or deceptive activity;
• upload, transmit, or distribute viruses, malware, or any code designed to damage systems;
• attempt to gain unauthorised access to any part of the site or connected systems;
• interfere with or disrupt the availability of the site;
• publish content that is defamatory, obscene, or infringes third-party rights;
• collect personally identifiable information of other users;
• impersonate NxtChapter or any other person; or
• facilitate or encourage any third party to do any of the above.

This site may contain links to third-party websites. Such links do not constitute an endorsement by NxtChapter. NxtChapter accepts no responsibility for the content, privacy practices, or availability of any third-party website.

NxtChapter will not be liable for any failure or delay in providing Services caused by events beyond its reasonable control, including acts of God, natural disasters, pandemic, war, government action, failure of telecommunications, or cyber-attacks.

These Terms & Conditions shall be governed by the laws of India.

Any disputes arising from these Terms & Conditions shall be subject to the exclusive jurisdiction of the courts located in Jamnagar, Gujarat, India.
